1. Agreement to Terms

By accessing or using Beings Research OS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Beings Ltd ("Beings", "we", "us", or "our"), a company registered in England and Wales.

2. Description of Service

Beings Research OS is a qualitative research platform that provides:

  • Audio and video transcription
  • AI-powered analysis and insights
  • Project organization and collaboration tools
  • Secure, UK-resident data storage

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old, or the age of majority in your jurisdiction
  • Provide accurate and complete registration information
  • Keep your account credentials secure
  • Notify us immediately of any unauthorized account use

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Content

4.1 Ownership

You retain full ownership of all content you upload to the Service ("Your Content"), including research data, transcripts, and any derivative works created by our AI tools.

4.2 License Grant

By uploading content, you grant Beings a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or your account.

4.3 Your Responsibilities

You represent and warrant that:

  • You have all necessary rights to upload Your Content
  • Your Content does not violate any laws or third-party rights
  • You have obtained necessary consents from research participants
  • Your Content does not contain malicious code

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Upload content that infringes intellectual property rights
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Use the Service to harm, harass, or exploit others
  • Resell or redistribute the Service without authorization
  • Use automated means to access the Service (except via our API)

6. Subscription and Payment

6.1 Pricing

Current pricing is available at beings.com/pricing. Prices may change with 30 days' notice.

6.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • Payments are processed by Stripe
  • All prices are in GBP unless otherwise stated
  • VAT is included for UK customers where applicable

6.3 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period. No refunds are provided for partial months, except where required by law.

6.4 Free Trial

Free trials, where offered, do not require payment information. At the end of the trial, you will be downgraded to the Free tier unless you subscribe.

7. Data Protection

All data is processed and stored exclusively in the United Kingdom.

We comply with UK GDPR and the Data Protection Act 2018. See our Privacy Policy for details on how we handle your data.

If you process personal data using our Service, you are the data controller for that data. We act as a data processor on your behalf.

8. Intellectual Property

8.1 Our Rights

The Service, including its design, features, and underlying technology, is owned by Beings and protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works of the Service.

8.2 Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use them without restriction or compensation.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • AI-generated outputs will be accurate or complete
  • The Service will meet your specific requirements

You acknowledge that AI outputs are generated automatically and may contain errors. You are responsible for reviewing and verifying all outputs.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BEINGS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from your use of AI-generated outputs

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Beings, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service immediately ceases
  • You may export Your Content within 30 days
  • We will delete Your Content in accordance with our Privacy Policy

Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use after changes constitutes acceptance.

If you do not agree to the modified Terms, you must stop using the Service before the changes take effect.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
